The Role: Overview
Responsible for legal advice and input to commercial decisions across the business:
Support business activities across multiple jurisdictions: Ireland, UK and Italy.
Help the business to meet enterprise-wide strategic goals and commercial objectives.
Facilitator of core business activities:
Draft and negotiate a broad range of contracts and agreements, including but not limited to:
Renewable energy asset acquisition, operations and maintenance, refinance and sale.
Construction development projects.
Investor loan notes and share agreements.
Business partner/intermediary contracts and agreements.
Advisor to the business on:
The implementation of new laws and regulations affecting the business and provide training to the business on legal matters, as required.
All legal, litigation, employment and contractual matters.
All legal issues affecting the business, including issues related to
company, contract and employment law.
Provide corporate governance support to the:
Boards of Directors of Group Companies.
Subsidiaries.
Reporting Structure:
Reports to the Chief Operating Officer.
The Role: Specifics
Where necessary, manage and instruct 'External Legal Counsel' with the objectives of: Increasing speed: by minimising legal bottlenecks that are costly to the business.
Reducing cost: by doing some of the heavy lifting internally before getting counsel.
Improving efficiency: by accurately framing legal issues to secure optimal counsel.
Review and negotiate:
Incoming contract and commercial agreements.
Liaise with counter-party legal representatives across Ireland, UK and Italy.
Support project development activities:
From project optioning and negotiation through to project construction, commissioning, operation, refinance and sale.
Support the Asset Management and Acquisitions Team:
Through all stages of asset appraisal, contract negotiation and acquisition transactions.
Develop and draft contracts and amendments:
In line with company policies and procedures.
The Individual: Overview
Legal professional with a strong commercial mindset.
Minimum of 5 years PQE in commercial or corporate law.
Experience in the energy, renewable energy and / or financial services industries would be an advantage.
Expertise in both Irish and UK law would be beneficial.
Qualifications:
Law degree, ideally.
Qualified Solicitor in Ireland or UK.
